Coaching Terms & Conditions
Effective from: 7 September 2026
1. About these Terms
These Coaching Terms & Conditions apply to coaching services provided by Pareto, CVR 31534089, Vendersgade 6, 2. tv, 1363 København K, Denmark.
The coaching services are provided by Charles Cain on behalf of Pareto.
By confirming a coaching engagement, the client agrees to these Terms & Conditions.
2. The coaching service
Charles Cain provides one-to-one communication coaching for professionals, with a particular focus on communicating effectively in English in professional and high-stakes situations.
Coaching may include work on presentations and speeches, business writing, leading meetings, stakeholder communication, structure and language, delivery and presentation skills, and related professional communication skills.
The precise scope of coaching will be agreed with the client.
Coaching is a professional development service. It does not constitute legal, financial, medical, psychological or other regulated professional advice.
3. Individual sessions and blocks
Coaching may be purchased as individual sessions or blocks of 10 sessions.
For individual sessions, the client books and pays for individual coaching sessions.
For blocks of 10 sessions, the client may purchase a block of 10 coaching sessions. A block of 10 sessions does not have a fixed expiry date unless a different arrangement is expressly agreed with the client.
Sessions within a block may be booked according to the client's needs and availability. There is no requirement to use the sessions at a particular frequency.
Each booked session remains subject to the cancellation and non-attendance provisions in these Terms.
4. Booking and confirmation
A coaching session or coaching engagement is confirmed when the relevant arrangements have been agreed, normally by email.
The confirmation will normally specify the date and time, whether the session is online or face-to-face, the applicable fee, any agreed travel charges, payment arrangements, and any other terms specific to the engagement.
The confirmation email, together with these Terms & Conditions, forms the basis of the agreement between the client and Pareto.
5. Online coaching
Online coaching is normally provided via Zoom.
Both parties are responsible for taking reasonable steps to ensure that the technology and connection required for the session are available.
If a session cannot proceed because of a technical problem attributable to Pareto or its chosen technology, Pareto will make reasonable efforts to resolve the problem or, where necessary, arrange a replacement session without charging the client an additional session fee.
If a session cannot proceed because of a technical problem attributable to the client, the session will normally remain subject to the applicable cancellation terms.
Where the cause of a technical problem cannot reasonably be attributed to either party, the parties will seek a reasonable solution, taking into account the circumstances and the extent to which the session was delivered.
6. Recording, transcription and summaries
Online coaching sessions are normally recorded for the purpose of producing a transcript and summary for the client and supporting the delivery and review of the coaching.
Recordings are handled in accordance with Pareto's Privacy Policy.
Recordings are normally deleted within 30 days after the relevant session.
Transcripts and coaching summaries may be retained for the duration of the coaching relationship and for 12 months after the client's last coaching session.
7. AI-assisted processing
Pareto may use Zoom's transcription and AI-assisted features as part of providing the coaching service.
From time to time, Pareto may also use other AI-assisted tools to process coaching transcripts, prepare summaries or support other coaching-related work.
Where such tools are used, Pareto will take reasonable steps to minimise the personal data included and will use appropriate safeguards. Further information is provided in the Privacy Policy.
8. Face-to-face coaching
Face-to-face coaching may be offered by separate agreement.
Face-to-face coaching is subject to a different fee from online coaching. The fee may reflect both the additional travel time and reasonable travel costs involved.
The applicable fee and any travel costs will be agreed with the client before the face-to-face session is confirmed.
Face-to-face coaching is subject to availability and location.
9. Fees and payment
Fees are agreed with the client in advance.
Unless otherwise agreed, payment is made by bank transfer against invoice.
For face-to-face coaching, any agreed travel charges will be stated clearly before the booking is confirmed.
10. Cancellation and rescheduling
A client may cancel or request to reschedule a coaching session by email.
At least two business days' notice is required.
If a session is cancelled or rescheduled with less than two business days' notice, the session will normally be counted as having taken place and will be chargeable.
For sessions purchased as part of a block, the session will normally be deducted from the client's remaining sessions.
If a client does not attend a scheduled session and has not cancelled it within the required notice period, the session will normally be treated in the same way.
For this purpose, business days are Monday to Friday, excluding Danish public holidays.
Pareto may, at its discretion, waive or reduce a cancellation charge where exceptional circumstances justify doing so.
Nothing in this section limits any statutory rights the client may have under applicable consumer-protection legislation.
11. Consumer withdrawal rights
Where a client is a consumer and the agreement is entered into as a distance contract, statutory consumer rights may apply, including a 14-day right of withdrawal.
Before entering into such an agreement, the consumer will receive the information required by applicable Danish consumer legislation, including information about any applicable withdrawal right and how it may be exercised. The information will be provided on a durable medium where required.
If the consumer expressly requests that coaching begin before the withdrawal period has expired, the applicable statutory rules concerning services beginning during the withdrawal period will apply.
The client's statutory rights take precedence over any conflicting provision in these Terms.
12. Client responsibilities
The effectiveness of coaching depends partly on the client's preparation, participation and willingness to practise and apply what is discussed.
The client remains responsible for their professional decisions and for how they use the skills, suggestions and materials discussed during coaching.
Where coaching involves professional or confidential material, the client is responsible for ensuring that they are entitled to share that material.
13. Confidentiality
Information shared by a client during coaching will be treated as confidential and will not knowingly be disclosed to third parties except with the client's consent, where disclosure is required by law, or where disclosure is necessary to comply with a legal obligation or protect the rights or safety of a person.
14. Client materials and intellectual property
Materials supplied by the client remain the client's property.
Coaching materials, frameworks, exercises and other materials supplied by Charles Cain remain the property of Pareto or their respective rights holder unless otherwise agreed.
Such materials may not be commercially reproduced, resold or distributed without permission.
15. No guarantee of a particular outcome
Coaching is intended to support the client's professional communication skills and performance.
Pareto does not guarantee a particular professional, commercial or career outcome as a result of coaching.
16. Ending an engagement
Either party may propose changes to an ongoing coaching arrangement.
A client who wishes to end an ongoing coaching arrangement should notify Pareto by email.
Any outstanding sessions or amounts due will be dealt with according to the applicable agreement and law.
For blocks of sessions, unused sessions do not expire unless an expiry date has specifically been agreed.
17. Personal data
Pareto processes personal data in connection with enquiries, bookings, coaching, recording, transcription, communication, invoicing and administration. Further information is provided in the Privacy Policy.
18. Governing law
These Terms & Conditions are governed by Danish law.
Nothing in these Terms limits mandatory rights or protections applicable to consumers.
Any dispute will first be addressed between the client and Pareto in good faith. Where a dispute cannot be resolved amicably, the applicable Danish rules concerning jurisdiction and dispute resolution will apply.
